INTEGER WEALTH GLOBAL - FINANCE

IWG Finance

.

Integer Wealth Global (IWG) is pleased to announce a new Group-level initiative to extend structured Property, Plant and Equipment (PP&E) finance to corporate clients, to be delivered through the Armorum Investment Fund, the PP&E and equipment finance sub-fund of the Regalis Global Investment Umbrella Fund.

This initiative represents a significant development in IWG's institutional finance platform and reflects the Group's strategic commitment to translating its alternative investment expertise into direct, structured corporate credit solutions. Having established Armorum as the dedicated vehicle for PP&E and equipment finance within the Regalis umbrella, IWG is now proceeding with the application for the requisite credit provision licence to activate the fund's direct lending capability for corporate clients.

NOTE: This web page is organic in growth and will continually develop with new and additional information as the Armorum Fund and its 'Finance' initiative develops.

Investment Fund

Sub-fund of the Regalis Global Investment Umbrella Fund

PP&E Finance Mandate

Liechtenstein registered (Pending)  ·  Luxembourg Stock Exchange Listed (Pending) ·  IWG Group initiative

The Armorum Investment Fund was established specifically to house IWG's PP&E and equipment finance activities within the Regalis  umbrella structure, and is pending it registration in Liechtenstein with a proposed listing on the Luxembourg Stock Exchange. The activation of its direct corporate credit function marks the transition of Armorum from a fund investment vehicle into an operationally active credit  provider, underpinned by IWG's institutional governance framework and the Group's multi-jurisdictional regulatory infrastructure.

PP&E Finance DEFINED

PP&E finance is a specialist form of asset-backed corporate credit in  which a lender provides structured financing for the acquisition of physical productive assets, machinery, plant, and equipment with the financed asset itself forming part of the security structure underpinning the facility.

It is a well-established instrument in international corporate finance, widely used by businesses operating in capital-intensive sectors to preserve working capital whilst acquiring the equipment their operations require.

Through the Armorum Fund, IWG will apply its existing expertise in structured alternative investment and risk management to the design and governance of each credit facility, ensuring that transactions are assessed, structured, and monitored to an institutional standard throughout their term.

Initial Equipment Focus

The inaugural phase of the Armorum PP&E finance offering will concentrate on three strategically selected categories of heavy plant equipment, each representing significant capital commitment and well-established international market demand:

Construction & Mining

Core infrastructure and civil engineering equipment, essential to construction projects across European and emerging market geographies.

Earth Moving & Rigging

Heavy earthmoving and site preparation machinery deployed across construction, mining, and land development operations globally.

Oil Drilling & Rigs

Specialist hydrocarbon extraction and production equipment serving energy sector corporate clients with significant capital equipment requirements.

Expansion to additional equipment categories and industrial sectors will be pursued on a phased basis, in line with Armorum's broader mandate and subject to the progressive development of the fund's credit provision capability following licence approval.

Approach & Governance

All facilities extended through the Armorum Fund will be structured in accordance with IWG's established investment and risk management methodologies, ensuring consistency with the institutional standards applied across the Regalis umbrella and the wider IWG Group platform.

Facilities will be provided exclusively to corporate clients, with credit assessment conducted under IWG's proprietary risk framework and applicable EU and EEA regulatory requirements.

Each transaction will be structured on an asset-backed basis, with facility terms calibrated to the productive life and secondary market liquidity of the underlying equipment asset.

The Armorum Fund will operate as a fully integrated component of the IWG Group's institutional finance platform, governed under the same fiduciary and multi-jurisdictional oversight standards as the wider Regalis umbrella.

All credit activity will be conducted subject to the terms of the credit provision licence currently being applied for, with IWG proceeding through the appropriate regulatory channels across its operating jurisdictions.

REGULATORY PROCESS

The Armorum Fund's PP&E credit provision capability is currently in the licensing application phase. IWG is proceeding through the appropriate regulatory channels across its operating jurisdictions. Further announcements regarding the commencement of operations, corporate client eligibility, and the availability of facilities will be made upon successful completion of the licensing process. Nothing in this announcement constitutes an offer of credit or a solicitation of business.

This initiative reflects IWG's broader ambition to position the Regalis umbrella's sub-funds as operationally active, sector-specific finance vehicles, not solely as investment funds, and to extend the Group's institutional capabilities directly to the corporate clients whose projects and assets IWG is structured to serve.

Corporate clients and counterparties wishing to register an early expression of interest in Armorum's PP&E finance facilities are invited to contact the IWG Group office directly. Full details regarding structure, eligibility criteria, and the commencement of operations will be published in due course.
